Standard Terms and Conditions of Sale
1. Introduction These Terms and Conditions of Sale ("Terms") govern the sale of all products and services ("Products") byDoppleSys ("Seller") to the purchaser ("Buyer"). By placing an order, Buyer agrees to these Terms. Any additional or conflicting terms proposed by Buyer are expressly rejected.
2. Orders and Acceptance
Order Placement: Orders may be placed via Seller’s website, email, or other authorized methods.
Order Acceptance: An order is not binding until confirmed in writing by Seller. Seller reserves the right to accept or reject any order at its sole discretion.
Order Changes and Cancellations: Changes or cancellations require Seller’s written approval and may be subject to fees.
3. Pricing and Payment
Prices: Prices are quoted in United States Dollars and are exclusive of taxes, shipping, and handling fees unless otherwise stated.
Taxes: Buyer is responsible for all applicable taxes, duties, and fees unless an exemption certificate is provided.
Payment Terms: Payment is due prior to shipping of any orders.
Payment Methods: Accepted payment methods include ACH and wire transfer.
4. Delivery and Risk of Loss
Delivery Terms: Delivery dates are estimates only. Seller is not liable for delays caused by circumstances beyond its control.
Shipping: Products are shipped FOB Plano, TX USA. Buyer assumes all risk of loss upon Seller’s delivery to the carrier.
Inspection: Buyer must inspect Products upon receipt and notify Seller of defects or shortages within 5 business days. Failure to do so constitutes acceptance.
5. Returns and Refunds
Return Authorization: Returns require a Return Merchandise Authorization (RMA) issued by Seller.
Conditions for Returns: Products must be returned in original packaging and condition within 5 days of receipt. Restocking fees may apply. Custom orders, software license, and other costs may not be refundable.
Refunds: Refunds, if applicable, will be issued upon receipt and inspection of the returned Products.
6. Warranty Seller’s standard warranty terms apply. Refer to the OEM Standard One-Year Limited Warranty for details.
7. Limitation of Liability
Exclusions: Seller is not liable for indirect, incidental, or consequential damages.
Liability Cap: Seller’s total liability is limited to the purchase price of the Products giving rise to the claim.
Force Majeure: Seller is not liable for delays or failures due to causes beyond its control, including acts of God, labor disputes, or supply chain disruptions.
8. Intellectual Property All intellectual property rights in the Products remain the sole property of Seller. Buyer may not copy, modify, or reverse-engineer the Products without Seller’s written consent.
9. Confidentiality Buyer agrees to maintain the confidentiality of Seller’s proprietary information, including pricing, technical data, and designs.
10. Compliance with Laws Buyer agrees to comply with all applicable laws, regulations, and export controls related to the purchase and use of the Products.
11. Governing Law and Dispute Resolution
Governing Law: These Terms are governed by the laws of the State of Texas, United States of America.
Dispute Resolution: Any disputes will be resolved through arbitration in Texas, as governed by the rules of American Arbitration Association (AAA).
12. Miscellaneous
Severability: If any provision is deemed invalid, the remaining provisions remain enforceable.
Entire Agreement: These Terms, along with any applicable order confirmations, constitute the entire agreement between Seller and Buyer.
Amendments: Any amendments must be made in writing and signed by both parties.
